Introduction
In the modern marketplace, with the rapid growth of the globalized economy, regulating commercial relationships between parties from different legal jurisdictions has become a critical necessity.
For an agreement to be classified as an international contract, it must contain at least one international element. The existence of conflicting legal regimes necessitates the preparation of a carefully drafted contract to maintain stability in international commerce.
Fundamental Principles and Binding Nature of International Contracts
The validity and functioning of international agreements are based on several fundamental principles:
2.1.Pacta Sunt Servanda (Agreements Must Be Kept)
This fundamental principle, based on Roman law, transforms a contract, which is based on the mutual will of the parties, into a kind of law applicable only between them. The parties are obligated to perform the obligations they have agreed in the contract. However, in the event of impossibility of performance (force majeure, hardship), the parties’ obligation may be terminated or postponed.
2.2 Autonomy of Will and Choice of Law
Autonomy of will is one of the most widely accepted in international private law. Parties have the right to choose the law that apply to their legal relationships.
2.3. Public Policy and Mandatory Rules
Even though party autonomy is widely accepted, it is not absolute. The agreement cannot contain provisions that violate the public order of the country to which it applies. The rules established cannot contradict the
mandatory rules of the country directly involved in the dispute. Furthermore, in case of such a conflict, the terms of the agreement may be deemed invalid.
3.Types of International Contracts
International contracts can be categorized into three main types based on the parties involved and the nature of the legal relationships:
- Public international law contracts ( States and international organizations)
- International commercial contracts ( Private companies across borders)
- International investment contracts ( Host state and foreign investor)
3.1 International Sales Contracts
CISG provides a framework for cross-border commercial sales of goods. Unless the contract explicitly states otherwise, the CISG applies to sales contracts between entities.
3.2 Distribution, Agency and Licensing Agreements
These agreements, used for entry into international markets, regulate the distribution and marketing of products and the cross-border use of intellectual property rights, rather than the transfer of ownership.
4.Dispute Resolution in International Contracts and International Arbitration
Even with meticulous care in drafting a contract, disputes may still arise. In such cases, the parties can apply to the local court agreed upon in the contract. However, alternative dispute resolution methods are preferred because they are cost-effective and fast. In international commercial transactions, the most common way to resolve disputes is arbitration. Arbitration is defined as the resolution of a dispute by an arbitrator or a panel of arbitrators outside of national courts.
4.1 Advantages of International Arbitration
The seat of arbitration is determined by the mutual agreement of the parties and is conducted by neutral arbitrators. The arbitrators are selected from experts on the subject of the dispute or lawyers. Confidentiality is one of the preferred reasons for choosing arbitration proceedings. At the same time, the process is flexible and fast.
4.2 Arbitration Clause
In order to apply for arbitration, it is mandatory to create a valid arbitration agreement between the parties or to have an arbitration clause in the contract.
The arbitration clause must clearly specify the arbitral institution, the applicable rules, and the language of arbitration.
4.3 1958 New York Convention
This convention ensures that arbitral awards issued in one state are easily enforceable in other signatory states, subject to very
narrow grounds of refusal (such as violation of public policy or breach of due process).
5.Conclusion
International contracts constitute the legal guarantee of global trade and investment. Therefore, the preparation process of international contracts and the determination of the dispute resolution method are of great importance. In particular, the international arbitration mechanism and the ease of enforcement provided by the New York Convention offer an effective method for parties in disputes.
